01About the Service

SMART SALE POINTS is a business management platform that brings point of sale, inventory, customers, suppliers, purchasing, expenses, returns, and reporting into one system. The Service is operated from our offices at BBS Mall, General Waruinge Street, Nairobi, Kenya.

Features may vary depending on your subscription plan, and we may add, change, or improve features over time.

02Accounts & Responsibilities

To use the Service you must register an account and provide accurate, complete information. You are responsible for:

• Keeping your login credentials confidential and secure, including credentials issued to your staff.
• All activity that occurs under your account, including activity by users you invite or authorize.
• Assigning appropriate role-based permissions to your team members and reviewing them regularly.
• Notifying us promptly if you suspect unauthorized access to your account.

You must be at least 18 years old and legally capable of entering into a binding agreement to create an account.

03Subscriptions & Payment

Access to the Service is provided on a subscription basis according to the plan you select. By subscribing, you agree to the following:

• Fees are payable in advance for each billing period and are quoted at the time of purchase.
• Unless stated otherwise, subscriptions renew automatically at the end of each billing period until cancelled.
• Fees already paid are non-refundable except where required by law or expressly stated in your plan.
• We may revise pricing with reasonable advance notice; changes take effect from your next billing period.
• If payment fails or remains overdue, we may suspend access to the Service until payment is settled.

04Acceptable Use

You agree to use the Service only for lawful business purposes. You must not:

• Use the Service to violate any applicable law or regulation, or to process data you have no right to process.
• Attempt to gain unauthorized access to the Service, other users' accounts, or our systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Copy, resell, sublicense, or reverse-engineer the Service or any part of it.
• Upload malicious code or use the Service to distribute spam or harmful content.

05Your Data & Ownership

Your business data belongs to you. Sales records, inventory, customer lists, supplier information, and other content you enter into the Service remain your property.

You grant us a limited license to host, process, and back up your data solely to provide and improve the Service. We handle personal data in accordance with our Privacy Policy.

You are responsible for the accuracy and lawfulness of the data you and your team enter into the Service, including obtaining any consents required to store your customers' information.

06Intellectual Property

The Service — including its software, design, logos, and documentation — is owned by SMART SALE POINTS and protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights in the Service are transferred to you.

07Availability & Support

We work hard to keep the Service fast, reliable, and available, but we do not guarantee uninterrupted or error-free operation. Planned maintenance will be scheduled to minimize disruption where possible.

08Limitation of Liability

To the maximum extent permitted by law, the Service is provided "as is" and "as available." We are not liable for indirect, incidental, special, or consequential losses — including loss of profits, revenue, or data — arising from your use of, or inability to use, the Service.

Our total liability arising out of or relating to the Service in any 12-month period shall not exceed the fees you paid to us for the Service during that period. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

09Suspension & Termination

You may cancel your subscription at any time; cancellation takes effect at the end of your current billing period. We may suspend or terminate your access if you materially breach these Terms, fail to pay fees when due, or use the Service in a way that creates risk or legal exposure for us or other users.

After termination, we will make your data available for export for a reasonable period (at least 30 days), after which it may be permanently deleted from our systems.

10Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

11Governing Law

These Terms are governed by the laws of the Republic of Kenya. Any dispute arising out of or in connection with these Terms or the Service shall be subject to the jurisdiction of the courts of Kenya, after a good-faith attempt to resolve the matter amicably.
